2. Scope

These General Terms and Conditions apply to orders and contracts between Northwood KLG (hereinafter “Northwood” or “we”) and our customers.

They apply to orders placed through our online shop and to orders placed by email, telephone or other means, provided these GTC were made available and agreed to before the contract was concluded.

Our offering is intended for private customers and business customers. Goods are delivered exclusively within Switzerland and the Principality of Liechtenstein.

For individually agreed services, the services, prices and deadlines stated in the relevant quotation or order confirmation also apply.

The version of these GTC agreed upon when the contract is concluded is binding. Individually agreed terms take precedence over these GTC. Mandatory statutory rights remain unaffected.

3. Offers and conclusion of contract

The presentation of products in the online shop is an invitation to place an order and does not constitute a binding contractual offer by Northwood.

By submitting an order, you make a binding offer to purchase the selected products. A contract is concluded when Northwood expressly accepts your order, sends a corresponding order acceptance confirmation or dispatches the goods.

An automated acknowledgement initially confirms only that your order has been received. It constitutes acceptance of the contract only if it expressly states this.

For orders placed by email, telephone or other means, the contract is concluded when both parties express their agreement.

Before accepting the contract, we may reject an order, particularly in cases of unavailability, obvious pricing errors, outstanding debts or reasonable doubts about the customer’s ability to pay. Payments already made for orders that are not accepted will be refunded.

Once the contract has been concluded, agreed prices will not be changed unilaterally. Statutory rights in the event of a mistake remain reserved.

4. Prices

All prices are stated in Swiss francs (CHF). Any VAT legally payable is included in the displayed final prices.

Shipping costs are charged separately unless free shipping applies. The total amount, including shipping costs and any discounts applied, is displayed before the order is completed.

Confirmed prices apply to individually agreed orders and services.

Changes to prices and product ranges apply to future orders and do not affect contracts already concluded.

5. Shipping and delivery

We deliver exclusively within Switzerland and the Principality of Liechtenstein using Swiss Post.

The preferred shipping method can be selected at checkout.

The following shipping charges apply to orders below CHF 100:

For orders of CHF 100 or more, PostPac Economy shipping is free, regardless of parcel weight. A surcharge of CHF 1.50 applies to PostPac Priority for these orders.

Once payment has been received, we generally hand your order over to Swiss Post within 24 hours on working days. Where payment by invoice has been agreed, processing takes place after the order has been accepted.

We do not hand over parcels on weekends or public holidays. Processing may take longer during periods of high order volume.

After handover to Swiss Post, the estimated postal transit times are:

PostPac Economy: 2–4 working days
PostPac Priority: 1–3 working days

Postal transit time is in addition to processing time. These times are estimates and do not constitute guaranteed delivery dates. Statutory rights in the event of delayed delivery remain unaffected.

If an ordered product is unavailable or a significant delay is anticipated, we will inform you. A substitute product will be supplied only with your consent.

After dispatch, you will receive a shipping confirmation by email, provided we have your email address. Where available, it will include a tracking number.

The risk of loss or damage to the goods passes to you only when they are handed over to you.

If a parcel cannot be delivered because you provided an incorrect or incomplete delivery address, you are responsible for the cost of reshipping.

6. Payment

For online orders, the payment methods displayed at checkout are available. Payment is made in accordance with the conditions of the selected payment method.

For orders placed outside the online shop, the payment method is agreed individually.

For business customers:

The first order must be paid in advance. From the second order onwards, payment by invoice with a payment term of no more than ten days may be arranged by prior agreement. The specific due date is stated on the invoice.

In the event of late payment, we may withhold further deliveries until outstanding amounts due have been settled. The consequences of late payment are governed by statutory provisions.

7. Returns and withdrawal

Voluntary right of return

We offer a voluntary right to return goods within 14 days of receipt.

Products must be unused, complete and in their original packaging. Please notify us of your intended return within this period by emailing info@northwood.ch. We will provide instructions for returning the goods.

The following are excluded from this voluntary right of return:

cosmetics;
food, herbs and teas;
hygiene products;
custom-made products;
gift cards.

You are responsible for return shipping costs. Once an eligible return has been received and inspected, we will refund the price actually paid for the product. Shipping costs already paid for the original order are not refunded under this voluntary right of return.

This voluntary right of return concerns goods that are free from defects. Your statutory rights regarding defective or incorrectly supplied goods remain unaffected.

Statutory rights of withdrawal

Where mandatory law provides a right of withdrawal or cancellation, that right takes precedence over the voluntary return conditions above.

To the extent that Liechtenstein’s Act on Distance and Off-Premises Contracts (“Fern- und Auswärtsgeschäfte-Gesetz”) applies to a contract with a consumer, a right of withdrawal generally exists for 14 days from receipt of the goods. This right may be exercised by sending an unequivocal statement to Northwood.

In such cases, statutory rules governing returns, refunds and exceptions apply. The general exclusions from the voluntary right of return do not apply to this statutory right. In the event of statutory withdrawal, the cost of the least expensive standard delivery option offered is generally also refunded; additional costs for a more expensive delivery method expressly chosen by the customer are excluded.

8. Statutory warranty and defects

Statutory warranty rights apply to defective or incorrectly supplied goods. They are not restricted by the voluntary right of return or its exclusions.

Please inspect the delivery upon receipt and report apparent defects as promptly as possible to info@northwood.ch. Please report hidden defects after discovering them. Statutory inspection and defect-notification obligations remain reserved.

Where possible, provide the order number and a description of the defect. Photographs may help us process your request.

We will review your report and agree on the next steps with you. A replacement delivery or another mutually agreed solution may be arranged. Your statutory rights remain unaffected.

The limitation period for statutory warranty claims is governed by the applicable law. Under Swiss law, it is generally two years from delivery for new goods.

Any manufacturer’s warranties apply additionally in accordance with their respective terms and do not replace claims against Northwood.

9. Liability

Northwood is liable in accordance with the applicable statutory provisions.

Mandatory liability claims, particularly under applicable product liability law, remain unaffected.

Please follow the instructions for use, care and safety provided for each product.

10. Retention of title

To the extent legally permissible and validly established, delivered goods remain the property of Northwood until payment has been made in full.

In Switzerland, a valid retention of title requires the legally prescribed entry in the retention-of-title register. This clause does not replace such registration.

11. Gift vouchers and promotional codes

Purchased gift vouchers

Purchased gift vouchers are generally valid for five years from the date of issue. A longer validity period promised at the time of purchase and any mandatory statutory validity or limitation rules take precedence.

Cash redemption or exchange for money is excluded unless mandatory statutory rights require otherwise.

Discount and shipping codes

Discount and shipping codes issued free of charge are not purchased gift vouchers.

They are subject to the conditions communicated when issued, particularly regarding validity periods, minimum order values, delivery destinations, eligible products and combination with other promotions.

The discount actually granted is displayed before the order is completed.

12. Data protection

Information about the processing of personal data is available in our privacy policy.

13. Applicable law and jurisdiction

To the extent that a choice of law is permissible, Swiss law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For contracts with consumers, mandatory consumer protection provisions remain applicable insofar as they cannot be excluded by the choice of law.

Disputes arising from consumer contracts are subject to the jurisdictions provided by law. These GTC do not restrict customers’ mandatory rights.

For contracts with business customers, Zurich is the agreed place of jurisdiction to the extent legally permissible.

14. Language

In the event of discrepancies between language versions, the German version of these GTC shall prevail, unless mandatory statutory provisions require otherwise.

15. Changes

Northwood may amend these GTC for future contracts.

The version agreed upon when the contract is concluded applies to the relevant order or engagement. Subsequent changes do not automatically become part of contracts already concluded.
